Terms & Conditions

1. Acceptance of Terms

By accessing or using our website, services, digital platforms, AI-powered interactive tools, or by executing a Statement of Work (SOW) or Master Services Agreement (MSA) with IXUX Studio, you (“Client”, “User”, or “you”) agree to be bound by these Terms & Conditions. If you do not agree, you must refrain from using our website and services.

2. Scope of Services

IXUX Studio provides B2B marketing strategy, full-funnel digital campaigns, account-based marketing (ABM),content creation, video production, executive AI workshops/training, and custom AI-assisted web and mobile application development for enterprise events and engagement.

  • Informational Website: The content on ixuxstudio.com is provided for general information and promotional purposes only.

  • Binding Engagements: Specific deliverables, project scopes, milestones, timelines, and payment terms shall be governed by an individually executed SOW, Service Proposal, or contract. In the event of a conflict between these Terms & Conditions and an executed SOW, the terms of the SOW shall prevail for that specific engagement.

3. Intellectual Property (IP) Rights

A. Company Pre-Existing & Proprietary IP

All pre-existing intellectual property, website design, text, graphics, branding, software, custom code frameworks, AI workflows, prompting libraries, and proprietary platforms developed or owned by IXUX Studio prior to or outside of a specific Client project remain the sole and exclusive property of IXUX Studio.

B. Client Deliverables & Ownership

Upon full and final payment of all outstanding invoices under an applicable SOW, IXUX Studio grants and assigns to Client the ownership rights in customized marketing collateral, final video deliverables, and bespoke campaign assets produced specifically for Client.

C. Portfolio & Marketing Rights

Unless explicitly restricted in a signed Non-Disclosure Agreement (NDA) or SOW, IXUX Studio retains a non-exclusive, worldwide, royalty-free license to display non-confidential Client deliverables, campaign case studies, logos,and general project overviews in IXUX Studio’s marketing materials, website, and agency portfolios.

4. Client Obligations & Approval Workflows

  • Provision of Assets: Client agrees to provide timely access to brand guidelines, digital assets, product details,feedback, and approvals required to execute agreed milestones.

  • Review & Sign-Off: Client is responsible for reviewing and providing final approval for all copy, creative assets,tech builds, and campaign launches. IXUX Studio is not liable for errors, typos, or inaccuracies in materials once approved by Client.

  • Compliance & Materials: Client warrants that all assets, logos, and materials supplied to IXUX Studio do not infringe upon any third-party intellectual property, privacy, or statutory rights.

5. Artificial Intelligence (AI) Technology & Third-Party Platforms

A. AI-Assisted Workflows & Applications

IXUX Studio leverages state-of-the-art Generative AI frameworks, LLMs, and custom AI web/mobile tools to enhance marketing speed, personalized app experiences, and campaign efficiency.

B. No Guarantees on Third-Party AI Models

While IXUX Studio employs industry-standard validation practices, Client acknowledges that third-party AI platform providers (e.g., Google Cloud, OpenAI, Anthropic) may experience service downtime, API rate limits, or updates beyond IXUX Studio’s control. IXUX Studio makes no warranties regarding the continuous uptime or static algorithmic outputs of underlying third-party AI APIs.

C. Algorithmic Variability

Client understands that Generative AI tools produce dynamic outputs. IXUX Studio exercises professional editorial and technical oversight to ensure final deliverables align with client specifications and safety standards.

6. Fees, Invoicing & Payments

  • Payment Terms: Payment schedules, deposits, and retainers are set forth in the applicable SOW or invoice.Invoices are due within the payment timeframe stated on the invoice (e.g., net 14 or net 30 days).

  • Late Payments: Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

  • Suspension of Service: IXUX Studio reserves the right to suspend or delay project deliverables, website hosting,or campaign management if Client invoices remain past due.

7. Limitation of Liability & Warranty Disclaimer

A. Disclaimer of Warranties

Services provided on ixuxstudio.com and under exploratory engagements are provided on an "AS IS" and "AS AVAILABLE" basis. Except as expressly warranted in a signed MSA or SOW, IXUX Studio disclaims all warranties,express or implied, including warranties of merchantability, fitness for a particular purpose, or specific commercial revenue outcomes.

B. Cap on Liability

To the maximum extent permitted by applicable law, IXUX Studio’s total aggregate liability arising out of or related to these terms or any agency services shall be strictly limited to the total amount paid by Client to IXUX Studio under the specific SOW giving rise to the claim during the three (3) months preceding the event.

C. Consequential Damages

Under no circumstances shall IXUX Studio be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, revenue, or business interruption) arising out of or in connection with our services, website, or AI applications.

8. Confidentiality

Both IXUX Studio and Client agree to maintain the confidentiality of non-public proprietary information, business strategies, technical code, and financial details disclosed during the course of business. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or necessary service partners bound by equivalent confidentiality obligations.

9. Governance & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. Any dispute,controversy, or claim arising out of or relating to these Terms or the breach thereof shall be subject to the exclusive jurisdiction of the courts of Malaysia.

10. Amendments & Modifications

IXUX Studio reserves the right to update or modify these Terms & Conditions at any time without prior notice.Updates will be posted on ixuxstudio.com with an updated "Effective Date". Continued use of our website or services following any changes constitutes acceptance of the revised terms.
